Corporate Structure

Cromwell is an internally managed Australian Real Estate Investment Trust (A-REIT), which owns a quality property portfolio and operates an award winning funds management business.

Cromwell is a stapled security consisting of Cromwell Corporation Limited ABN 44 001 056 980 (“the Company”) and Cromwell Diversified Property Trust ARSN 102 982 598 (“the Trust”), the responsible entity of which is Cromwell Property Securities Limited ABN 11 079 147 809 (“the Manager”). Being a stapled security means each share in the Company is stapled to a unit in the Trust to form a single security. Cromwell’s Stapled Securities trade on the Australian Securities Exchange (“ASX”) under the code CMW and the Group is included in the S&P/ASX 200 index, making it one of the 200 largest and most liquid stocks traded on ASX.

Cromwell Funds Management

Cromwell’s heritage lies in the creation of property investment products. Property investment is experiencing a renaissance in the current low interest rate environment, and Cromwell is well positioned to give investors an exposure to high quality, non-residential assets.

Cromwell has established a comprehensive product suite offering a range of investment products with various levels of exposure to listed and unlisted property.

The most diversified product is the Cromwell Australian Property Fund (APF) which provides access to Cromwell’s listed and unlisted property expertise, all in one fund.

Delivering the APF’s listed property exposure is the Cromwell Phoenix Property Securities Fund (PSF) which holds a portfolio of ASX-listed property securities. The portfolio is actively-managed by Phoenix Portfolios whose consistent strong performance has earned the fund numerous awards and accolades. The PSF is now closed to new investors, and can only be accessed through the Cromwell Australian Property Fund.

The Cromwell Direct Property Fund (DPF) is an access point to a diversified portfolio of high quality direct unlisted property. It provides the APF with its allocation to unlisted property. The DPF property portfolio comprises exposure to each of Cromwell’s existing and future Property Trust products.

The foundation of Cromwell’s unlisted direct property investments are the Property Trusts. Each Property Trust provides investors with exposure to a single asset (or in some instances, a small portfolio of assets) for a fixed initial investment term. The assets are predominantly underpinned by long term leases to Government and other blue chip tenants. Each Property Trust has a finite number of units and is closed to new investment once a maximum subscription level is achieved. With no exposure to the vagaries of the sharemarket and offering monthly income distributions, these ‘back to basics’ Property Trusts are highly sought after by investors seeking peace of mind.

History

1970

Cromwell Corporation Limited forms to acquire White River Timber Group, suppliers of hardwood to Housing Commission contractors in NSW.

1988

Company acquired by Corporate Investments Limited, a NZ listed company, and changes name to Corporate Equities Limited before embarking on a new direction of property development, project management and corporate investment.

1997

Company changed its name to Westholme Limited. After obtaining a licence from the Australian Securities Commission (now ASIC) in 1997 it commenced operations as a property syndicator.

1998

Westholme Limited was recapitalised which resulted in a new Board of Directors and name change to Cromwell Corporation Limited. Cromwell, as we know it, had commenced. Cromwell Corporation Limited was recapitalised as a property funds management business.

2003

Purchased 14 properties in five states from 1998-2003, with a value of more than $300 million. Of this, $58 million became part of the Cromwell Diversified Property Trust (CDPT).

2004

CDPT purchased 11 properties for $152 million. The acquisition of the landmark 700 Collins Street, Melbourne was completed at a cost of $133 million, forming the cornerstone investment of the CDPT.

2006

The CDPT was merged with five smaller unlisted property trusts and stapled to Cromwell Corporation Limited creating Cromwell Property Group.

Cromwell unveiled the new investment vehicle, the Cromwell Property Fund (CPF), which contracted to acquire five properties valued at $276 million.

Cromwell Group became the 17th largest listed entity in Queensland after the successful merger of the Cromwell Diversified Property Trust (the Trust); with five Cromwell managed Syndicates and the subsequent stapling of the consolidated Trust to Cromwell Corporation Limited.

2007

Cromwell sold five properties for a combined $260 million at the peak of the market.

The sale of the Bundall Corporate Centre and associated development site for $106 million was announced, 18 months after acquiring the assets for $52.9 million.

Cromwell entered an agreement to acquire a commercial development site in Brisbane’s inner city, which it developed into Synergy, completed in 2008.

2008

Cromwell purchased Tuggeranong Office Park in Canberra for $166 million, and launched a Property Securities Fund.

2009

Cromwell completed a $91 million raising for the unlisted Cromwell Riverpark Trust. The Trust acquired land and began funding the construction of the Riverpark Building, with an ‘as if complete’ valuation of $173 million.

2010

The Group raised $75.4 million via a placement and rights issue and acquired the Qantas Global Headquarters in Mascot, NSW for $143 million.

2011

Acquired $250 million additional assets, launched new unlisted fund and was awarded Fund Manager of the Year (Australian Property Securities) by Money Management / Lonsec.

Cromwell rebranded itself as "Cromwell Property Group".

HQ North in Fortitude Valley was acquired for $186 million.

In December, the Cromwell Ipswich City Heart Trust was launched. The Trust owns the Ipswich City Heart Building in Ipswich, Queensland, completed in late 2013.

The Group announced its reacquisition of the Bundall Corporate Centre for $63.4 million. This was the same property, now further developed and including an additional building, which Cromwell sold for $106 million in 2007.

2012

Acquired close to $250 million in new assets, completed a $50 million unlisted fund raising, and a $163 million institutional equity raising.

2013

Entered the S&P/ASX 300 Index, acquired $470 million additional assets and raised in excess of $150 million across three unlisted funds.

Acquired the landmark North Sydney building, Northpoint Tower, in November for $278 million.

Property Portfolio

Qantas Global Headquarters

The Qantas Global Headquarters is an iconic office park, strategically located in Mascot near Sydney Airport. The campus-style facility accommodates thousands of staff and features an auditorium, retail space and a covered atrium linking four buildings.

The asset has recently undergone a major refurbishment and expansion project, carried out over a three year period and completed in January 2014. The project has enabled Qantas to achieve cost efficiencies by consolidating its Sydney offices into one Global Headquarters, as well as overhauling the energy efficiency of the facility.

The newly developed facility consists of over 50,000 square metres of refurbished workspace and includes a four-storey hub formed by a steelwork atrium structure, consisting of glazed walls and a partially-glazed roof connecting the refurbished buildings to create a communal undercover street space.

Within the hub, cantilevered meeting pods and balconies, as well as new inter-storey stairs and a footbridge, have been constructed to allow maximum flexibility and staff connectivity.

A number of environmentally sustainable design elements are expected to raise the NABERS Energy rating from 1.5 Stars to 5 Stars. The newly installed trigeneration power plant, the largest of its kind in Australia, is expected to cut carbon emissions by around 14,000 tonnes per year.

The project also included a new air-conditioning plant, increased ventilation rates, high efficiency lighting and water saving devices to provide significant reductions in energy and water consumption.

The asset is 100% occupied by Qantas, one of the world’s leading airlines, with a lease stretching to 2032.

The asset is a shining example of Cromwell’s owner-directed approach to asset improvement, where we oversee large scale projects on behalf of tenants to deliver more efficient work environments.

HQ North Tower

HQ is an impressive complex consisting of two office towers, located just two kilometres from the Brisbane CBD in Fortitude Valley. The north tower, known as HQ North, is an 11-storey A-Grade office tower which was acquired by Cromwell in 2011.

The asset is located in Fortitude Valley’s ‘Urban Renewal’ precinct, the largest office market outside the Brisbane CBD. HQ North is located on Wickham Street, a major thoroughfare connecting the Brisbane CBD to the northern suburbs and the airport.

The surrounding area has seen significant growth recently including office, retail and residential development. There is high connectivity to public transport as well as access to major arterials including the Inner City Bypass, Clem 7 Tunnel and the Airport Link.

HQ North is the larger of the two buildings on the site, and has a total net lettable area of 29,364 square metres, including 1,086 square metres of retail space, and secure parking for 330 cars and 22 motorcycles.

The quality of the property has attracted high quality corporate tenants including AECOM, Bechtel, Technology One and CS Energy. HQ North has outstanding environmental credentials which have earned it a 6 Star Green Star v2 Office Design rating, the highest possible rating by the Green Building Council of Australia. It has also been awarded a 5.5 Star NABERS Energy rating and a 5 Star NABERS Water rating.

Energex House

Energex House is an A-Grade office building, acquired by the Cromwell Riverpark Trust in 2009, and forms part of the $1.1 billion Gasworks urban renewal project.

The asset is one of Queensland’s most energy efficient commercial buildings. It has earned a Six Star Green Star certified rating, representing a world class standard in energy efficiency and environmental considerations.

The property is located within the Newstead Riverpark precinct, which is approximately three kilometres north east of the Brisbane CBD on the eastern side of Breakfast Creek Road.

The precinct encompasses 17 hectares of riverfront land. The area is being transformed into Brisbane’s most prestigious urban community, and a residential, dining and retail hub. It is anticipated the precinct will be home to more than 33,000 additional residents by 2026. Energex House is the largest commercial building in the area.

The six upper levels of Energex House boast floor plates averaging 4,500 square metres, with excellent natural light due to internal atriums and a well-planned fitout. The asset also includes a gymnasium, leisure rooms and dining options.

The anchor tenant, Energex, is one of Australia’s largest and fastest growing energy suppliers and occupies 94% of the 30,601 square metres of net lettable area of the building on a long lease.

Energex House has been designed to be at the cutting edge of energy efficiency with a host of passive energy conservation features. The building is a benchmark in environmentally sustainable development and workplace design, responding to the major tenant’s requirements and delivering a purpose-built, long term, flexible working environment in a landmark location.

In addition to the Six Star Green Star rating, the property’s environmental performance has earned it a prestigious 5.5 star NABERS Base Building Energy rating, exceeding the five star targeted by the developer and placing it in the top five percent of all NABERS rated buildings in Australia.

Investment Opportunities

Cromwell Pheonix Opportunities Fund

This value orientated fund invests in ASX-listed microcaps using Phoenix Portfolios’ ‘best ideas’ approach and aims to find hidden value in under-researched stocks.

Investment Philosophy

Microcaps typically have little analyst coverage as institutions are unable to deploy meaningful amounts of capital and therefore cannot justify investing in research. This means many companies outside the main ASX indices are under-researched and undiscovered. This can give rise to situations where companies trade well below their assessed value. They seek to identify pricing discrepancies in these ‘under-researched’ stocks and blend together a portfolio of investments that offers the highest risk adjusted after-tax expected return. The Fund will typically hold between 15 and 40 investments. There is a cap on the Fund size to maximise performance potential.

Cromwell Phoenix Core Listed Property Fund

The Fund invests in ASX-listed property securities and property-like investments.

Investment Strategy

The Fund will invest primarily in large, well-established Australian property securities listed on the ASX, which hold underlying investments including office, retail, industrial and hotel assets. To broaden the universe of investment opportunities, the Fund may also invest in a selected range of other assets, including listed property related securities such as infrastructure, property developers, property fund managers, international listed property securities, cash and fixed interest.

Individual stock positions can deviate from the Benchmark by plus or minus 5% for index stocks. Non-index stocks, which have an index weight of zero, can each represent up to a maximum of 5% of the Fund.

Direct Property Fund

The Fund aims to provide investors with a monthly tax advantaged income stream combined with the potential for capital growth through investing in a diversified portfolio of quality property assets.

Investment Strategy

The Fund will invest directly, or through unlisted property trusts, in non-residential Australian property with a primary focus on high quality commercial, industrial and retail property leased to government and blue chip tenants on long leases.

Cromwell Funds Management will look to deliver on the Fund’s investment objective by initially, investing in the following four Cromwell funds; Cromwell Riverpark Trust, Cromwell Ipswich City Heart Trust, Cromwell Box Hill Trust and the Cromwell Property Trust 12. This will provide investors with diversification across six properties and access to a strong income stream, the majority of which is expected to be tax deferred.
