CFD

Is an abbreviation for "Contract for Difference". A CFD is a 'derivative' that is derived from the underlying value of the share price. A CFD’s allow you to go long (buy the CFD) or go short (sell the CFD).

CFD's give you leverage.

Example: Buying a CFD in XYZ provides you with an opportunity to purchase the shares at a variable rates such as 10 to 1 ratio instead of the full upfront share value cost i.e. paying $1,000 instead of $10,000.

An order placed that will be executed at a specific price or better after a given stop price has been reached. Therefore it combines the feature of a stop order with those of a limit order.

General Overview

About The Novion Property Group

Novion Property Group was listed on the Australian Securities Exchange (ASX) in April 1994 under the name Gandel Retail Trust. Ever since then they've been driven by a passion to improve Australian retail property. Their expertise crosses the full spectrum of retail assets from neighbourhood and sub-regional centres through to larger CBD, regional and super-regional shopping centres, while maintaining our leadership in the retail outlet centre space.

Their success is built on their deep knowledge of the Australian retail sector. By tailoring their retail centres to closely match their demographic, the retailers they select to occupy their centres are well suited to local shoppers.

As well as offering a direct investment in Australian retail property via their listing on the ASX, they also provide an opportunity for their strategic partners to leverage their experience and expertise through their fully integrated funds and asset management platform.

Novion directly employs more than 800 people and have a network of more than 5,000 retailers across the 36 retail assets they manage. They're dedicated to developing talent and making sure their people are happy and motivated to progress within their organisation because they recognise their people are the future of their business.

History

April 1994
Listed on the ASX

Novion was initially listed on the ASX under the name 'Gandel Retail Trust' (ASX: GAN) in April 1994. At the time, GAN owned six assets, with a portfolio valued at $647 million. Assets included Chadstone Shopping Centre, which has subsequently evolved to be the largest shopping centre in Australia.Since its initial public listing, the Group’s name has evolved from 'Gandel Retail Trust' to 'CFS Gandel Retail Trust', to 'CFS Retail Property Trust', to 'CFS Retail Property Trust Group' and most recently to 'Novion Property Group'.

October 2002
Merger with Colonial First State Retail Property Trust

GAN merged with Colonial First State Retail Property Trust (CFSRPT) in October 2002. This merger resulted in the addition of eight new shopping centres and one mixed-use asset with a value of $671 million, increasing the value of the trust to $3.2 billion in the first financial year post merger.

As a result of the merger, the funds management and asset management entities of the combined group were jointly owned by Commonwealth Bank of Australia (CBA) and Gandel Group, and the trust was renamed 'CFS Gandel Retail Trust'. Early 2006
Gandel Group sells its interest in the funds and asset management entities

Gandel Group sold its interests in the funds and asset management entities to CBA, and as a result:

  • The trust was renamed 'CFS Retail Property Trust' (ASX:CFX), and
  • 'Gandel Retail Management Pty Limited' (the asset management business), was renamed 'Colonial First State Property Management Pty Limited' (CFSPM).

The entities that provided funds and asset management services to CFX (which was externally managed at the time), along with a number of other funds, were together referred to as 'Colonial First State Global Asset Management – Property' or 'CFSGAM Property'.

Group Stapling and the creation of CFX2

A new trust, CFS Retail Property Trust 2 (CFX2), was created in May 2012 to carry out certain activities that CFX could not undertake without affecting its pass-through tax status. At the same time, CFX changed its name to 'CFS Retail Property Trust 1' (CFX1). CFX2 units were issued to unitholders and stapled to CFX1 units on a one-for-one basis, to become stapled securities in CFS Retail Property Trust Group.

March 2014
Internalisation

On 24 March 2014, following overwhelming securityholder approval, the Group internalised CFX’s management, acquired a retail property asset management business (CFSPM) from CBA and commenced the investment management of a number of wholesale property funds and third party mandates (Internalisation). This restructure was effected through the following activities:

  • a newly formed entity owned by CFX1 securityholders, CFX Co Limited (CFX Co), acquiring Commonwealth Managed Investments Limited (CMIL), the Responsible Entity of CFX1, and other management entities from CBA (including CFSPM)
  • CFX2 being de-stapled from CFX1 and being acquired by CFX Co, and
  • CFX Co being stapled to CFX1 to form a stapled security.

Following completion of the Internalisation, each CFX security comprised of one CFX1 unit stapled to one CFX Co share. To view tax information for Novion securityholders who held units in CFX1 prior to Internalisation on 24 March 2014.

November 2014
Novion Property Group is launched

As a result of the Internalisation transaction which completed in March 2014, CFX undertook the largest structural change in the Group’s history becoming one of Australia’s largest fully integrated and independently-managed retail property groups. To reflect this structural change and becoming a stand-alone entity, the Group was renamed Novion Property Group from 3 November 2014 (ASX:NVN).

  • Ranking Number 1 of all retail REITs in Australia, and Number 2 of retail REITs globally by Global Real Estate Sustainability Benchmark (GRESB), and
  • Rated a Climate Disclosure Leader for the fifth consecutive year, and included in the 'A-' band for performance for the third consecutive year by CDP.

Novion also continues to be included in the FTSE4Good index (since 2001) and DJSI suite of indices (since 2004).
