Share

Purchasing shares in a company buys you part ownership of that company. You're given the right to vote on who manages the company and receive a portion of company profits through the distribution of dividends.

Example: If a share price quote is $25, then that means one share is valued at $25.

Note: Shares are also referred to as stocks, equities and securities.

CFD

Is an abbreviation for "Contract for Difference". A CFD is a 'derivative' that is derived from the underlying value of the share price. A CFD’s allow you to go long (buy the CFD) or go short (sell the CFD).

CFD's give you leverage.

Example: Buying a CFD in XYZ provides you with an opportunity to purchase the shares at a variable rates such as 10 to 1 ratio instead of the full upfront share value cost i.e. paying $1,000 instead of $10,000.

Because CFDs are traded on margin, you must maintain the minimum margin level at all times.

Note: CFD’s are not recommended for novice traders.

General Overview

About PO Valley Energy

Po Valley Energy Limited (PVE) is an emerging Oil&Gas exploration and development Company with an expanding portfolio of hydrocarbon assets in northern Italy.

The Company owns and operates two gas treatment plants, with more gas and oil developments to come.

Po Valley was the first E&P Company to bring new production to the Po Valley region since the end of the ENI-Agip monopoly and the liberalisation of the Italian gas market in 1998.

The Company, listed on the Australian Stock Exchange on 14 December 2004 and through its subsidiaries Northsun Italia S.p.A and Po Valley Operations Pty Ltd, holds 12 licence areas, encompassing 2,000 sq kilometers (494,200 acres).

Having operated in Italy for the past 10 years, the Company is experienced in Italy's regulatory process and has successfully managed each stage of the exploration and production business.

The Company's presence in Italy and local management team represents significant competitive advantage not enjoyed by newer entrants seeking to find success in the Italian market.

Po Valley has continued to grow its portfolio of assets at a very low cost relative to other oil and gas companies, providing the basis for future shareholder value creation. Italy remains an attractive market with gas and oil being of high quality, an accessible and low cost transportation network and a pricing environment that has been stable and higher than other comparable European countries.

Projects

Sillaro

The field was originally explored by ENI between 1955 and 1982 with seven wells drilled in and around the structure. The field contains gas bearing zones in the Pliocene level at a depth of 2,100 metres. The deeper Miocene level, at a depth of 2,500 metres, was previously drilled by ENI and found to have a gas bearing reservoir.

In July 2009, the Company drilled a second well -- Sillaro2dir -- into the Pliocene gas reservoirs, designed to produce from multiple levels and to increase overall flow rates and optimise total field recovery.

In May 2010 the field commenced production on Sillaro-2dir from levels A and E while the Sillaro-1dir well was connected in June 2010 to produce from levels C1+C2. Flow rates, pressures behavior and plant efficiency were in line with the expectations.

In August 2011, in line with the field development plan, the Company closed the gas producing level E, which produced 40% in excess of initial reserve estimates, and opened the level C0. Subsequent to the change in producing levels, the field re-started production at the planned rate of around 80,000scm/day.

During 2012 the field experienced an unexpected increase in condensate production. The situation was thoroughly evaluated by the Company and it was confirmed that condensate production was originating from the PL2 C1+C2 producing level.

While the amount produced is negligible, the Company decided to install condensate extraction equipment in the Sillaro production facility before reopening level PL2 C1+C2. The installation of the condensate extraction equipment is underway with the aim to return to previous flow rates.

Production from Sillaro during 2012 was 19.3 million standard cubic meters (0.68 bcf) at a rate of circa 54,000 standard cubic meters per day (1.9 million cubic feet per day).

Castello

Castello, east of Milan, is the first Company's gas field entered into commercial production. The field was drilled in 2005 at a location updip from the former ENI Agnadello well, which produced 13 billion cubic feet of gas over a period of five years in the 1980s.

In December 2009, the Company convened gas production. In April 2010 the field experienced a faster decline in wellhead pressure. Downhole tests found water incursion in the deepest gas bearing level and, consequently, the level was shut-off, with low permeability of the shallow gas bearing level strongly affecting the gas flow-rate.

To avoid water incursion and pressure decline, the Company sidetracked the existing well with the aim to recover the remaining attic gas, estimated to be 100 million cubic metres (3.5 bcf).

Starting from the current Vitalba-1dir location, the bottom hole of the new side-track was identified using the recent geological, geophysical and engineering studies. In early December 2011 the Company advised the market that production capacity has been confirmed during clean-up and testing of the Pliocene SAN A2 sand level in Vitalba1dirA well.

In February 2012, PVE recommenced gas production from the Vitalba1dirA well Production from Vitalba during 2012 was 5.3 million cubic metres (0.19 bcf).

In the Cascina Castello production concession and at a short distance from the production facility of Vitalba, a new promising prospective area has been identified and named West Vitalba. Robertson CGG certified best estimate Prospective Resources of 2.4 bcf of gas.

The technical team has worked on a 3D seismic survey existing dataset to finalise a well location and a drilling program for the prospect.

S. Alberto

Sant'alberto is located in the north of Bologna and Edison, the previous partner and operator, submitted the production concession application in July 2006. In March 2008, Po Valley reached an agreement with Edison to assume 100% ownership of the licence.

In February 2009 the Ministry confirmed that the Company is now the sole operator/owner effective from the 29th October 2008.

In February 2011, the Company shot 31 km of 60 fold 2D seismic lines. Seismic quality was good and the Company finalised a new seismic interpretation of the field.

This was incorporated into an updated static and dynamic reservoir model prepared by DREAM which indicated gas resources of 1C 51.0 MScm (1.8 bcf) to be produced from our Santa Maddalena1dir well.

The updated Production Concession application, which incorporated this evaluation of the remaining potential of the field, was submitted to the Ministry in February 2012.

Once the S. Alberto production licence is granted, the development plan is to produce from the single completed S. Maddalena1dir well.

The Company will then evaluate the feasibility of a second well in the eastern portion of Block-5, based on the production behaviour of the Santa Maddalena1dir well, as well as new seismic reinterpretation of the area using additional existing ENI seismic which will be purchased, reprocessed and integrated with the 2011 data.

The development plan is currently under review by the Ministry.

Bezzecca

The Bezzecca-1 well is located within the Company's 100% owned Cascina San Pietro permit area, east of Milan. Formerly called Pandino, the field was drilled in the 1950s by ENI and produced 5 bcf.

Bezzecca-1 well was drilled in March-May 2009 to a depth of 2,010 metres and it was tested across three gas bearing levels -- in the upper Miocene and in the lower Pliocene. Initial flow rate from the deep Miocene level from 1925m to 1945m was 2 million cubic feet per day on one inch choke at a pressure of 1760psi. The tested flow stabilized and exhibited rapid and full pressure recovery.

Bezzecca field data was evaluated in an integrated reservoir study comprising seismic re-mapping, petrophysical evaluation and reservoir simulation. Their phased development plan calls for the connection of Bezzecca-1 well to the Castello production plant by way of an 8km gathering line and the subsequent drilling of a second well (Bezzecca-2) to drain the structurally highest portion of the field. In September 2012 the Company has been awarded a preliminarily production concession by the Italian Ministry of Economic Development.

The award of the final production concession is now at the last stage of the regulatory approval process.

AR94PY

The exploration permit named AR94PY is located in the shallow waters of the Adriatic Sea offshore Emilia Romagna region and contains two connected gas discoveries, Carola and Irma, both drilled and tested by the former operator, ENI.

During 2011 a new licence perimeter was defined to comply with the new coastal protection law and the licence now covers an area of 205 square kilometres.

The exploration permit has been awarded in July 2012.

After the receipt of the full award the Company visited ENI dataroom and selected 3D seismic and well dataset for purchase. The preliminary interpretation carried out and the updated Contingent Resources certified by Robertson CGG (1C: 34.6 bcf, 2C: 47.3 bcf, 3C: 62.2 bcf) have confirmed the high potential of the gas discoveries within the permit.

The technical team have commenced work on a preliminary development plan aimed to fast track the development of the offshore gas project renamed Teodorico (Theoderic the Great was king of the Germanic Ostrogoths (471--526) and ruler of Italy (493--526).

Furthermore, after a change in recent Italian legislation, the Company has applied to the Ministry to recover the permit rights to the original awarded licence area.

Fantuzza

Fantuzza, located in the Crocetta exploration licence, is a deeper structure of Sillaro. The well is located near the former ENI Budrio-6 well and is targeted at exploiting potential deeper Miocene reserves. Surface plant and pipeline connections at Sillaro have been sized to take advantage of a success at Fantuzza-1 well, located about 2 kilometres East of Sillaro production site.

Assuming exploration success, the wells, when successfully completed, will be connected to existing Sillaro production facility via approximately 2 km of gas gathering line.

Cadelbosco/Grattasasso

Cadelbosco

Cadelbosco di Sopra exploration permit, together with the adjacent Grattasasso permit, was awarded to the Company in February 2011.

In 2009 a preliminary exploration assessment of the former ENI Correggio gas field (which produced 7.1 bscm / 253 bcf from 41 productive wells) confirmed the presence of remaining gas potential in this area.

Two Quaternary prospects, Canolo-1 and Zini-1 (respectively 2C:1.1 and 2.7 bcf) and one Pliocene prospect named Canolo-2 (2C: 2.6 bcf) have been identified.

Drilling approval applications were lodged in 2012 and the drilling programs with the related Environmental Impact Assessment are under review by the Ministry and the Region.

In June 2012 the Company executed a farm-in agreement with Petrorep Italiana Spa: the agreement permits Petrorep to earn a 15% interest in the up-coming work programme.

The licence also includes the Bagnolo in Piano deep (Cretaceous carbonates) oil discovery (drilled by ENI in the 1980s). Structural seismic interpretation together with former well information and core data has been reviewed to determine the oil potential of the feature.

Grattasasso

This licence, north of Cadelbosco di Sopra, was awarded to the Company in January 2011. It includes the deep Oligocene/Eocene Ravizza oil discovery (drilled by ENI in the 1980s).

Structural seismic interpretation, together with prior well information and core data, was collected

to perform a static reservoir study and to determine the oil potential of the feature.

The drilling of the quaternary Canolo-1 prospect referred to above, which borders the Cadelbosco permit, will provide indications on the gas extension of the related seismic anomaly in the Grattasasso permit.

La Prospera

This licence, located in the Ferrara province north of Bologna, was awarded in September 2008. A subsequent seismic interpretation of 68km of ENI 2D seismic lines has identified within the Quaternary sequence the Gradizza prospect. PVE had previously entered into an agreement with Petrorep (already a partner with PVE in the Cadelbosco di Sopra permit), which allowed it to earn a 15% working interest in the La Prospera licence, and with Aleanna for another 10% working interest. PVE retained the residual 75% interest and operatorship.

Gradizza-1 well was drilled and tested in August -- September 2013. After reaching the Total Depth of 1,030 metres the Company confirmed the identification of a gas bearing zone in the primary target of the quaternary sand level. The well intersected a 10 metres gross gas column, with 9 metres of net gas sand.

The well has been single completed with a gravel pack and tested. The flow rate stabilised at ~7,000 standard cubic metres/day with a 3/16" choke. Although no formation water was associated with gas production during the test, the clean-up process was not complete. After reviewing the initial test data, the Company decided to proceed with rigless testing to complete the well cleanup to better evaluate the commercial potential of the well. The new test was performed in November and completed over 5 days on different chokes. Flow rates stabilised at ~15,000 standard cubic metres/day with a 3/16" choke increasing by 114% or ~8,000 standard cubic metres/day compared to the test carried out post completion. Well pressure following build up and shut in recovered quickly and no formation water was associated with gas production.

The improvement in tested flow rates reflected a continued clean up of the well with a parallel reduction through gas flow of the formation damage around the perforations and gravel pack.

The Company is now finalising the interpretation and incorporation of the new results in the reservoir model for the field.

New Projects

The Podere Gallina exploration permit area measures about 331 Km2 and it is situated in the eastern part of the Po Plain, among the Ferrara and Bologna provinces, in the Emilia-Romagna region. The licence was awarded in 2008.

During 2012 the Company carried out the G&G work to assess the residual gas potential of the Selva gas field (that produced 83 bcf from 15 wells over a 35 year period) and identified a new low risk prospect named "Selva Stratigraphic"(the drilling of the related Podere Maiar-1 well is ongoing). The whole area of the ex Selva field will be thoroughly investigated through the purchase of additional existing 2D seismic and wells data plus a possible new 3D seismic acquisition.

Robertson CGG has certified 2C Contingent Resources of 17 bcf of gas for the prospect. Work is progressing to finalise a drilling location.

Within La Risorta exploration permit (preliminarily granted), located in the north east of the Ferrara province, the Company is progressing studies for promising gas prospects (Dosso delle Anime, Ariano and Corcrevà) with target depths ranging from 1,200 and 2,100 metres.

Preliminary evaluation of total best prospective resources amounts to 43.7 bcf - unrisked.

The Company plans to purchase existing ENI seismic in order to finalise the evaluation of the gas potential of the prospects and select drilling locations. The regulatory process is proceeding slowly due to local regulations.

In 2012 the Company the Company expanded its portfolio with the preliminary grant of Torre del Moro and Tozzona exploration licences, in the Po Valley basin. The Company intends to conduct geological and geophysical studies on the new permit area, once awarded, to fully evaluate a number of leads already identified and, assuming positive results, will then prepare plans for an exploration well.
